These Terms of Service (“Terms”) govern your access to and use of the Jignify website(s), our APIs, mobile applications (“App”), and any live support, software, tools, features, or functionalities provided on or in connection with our services; including without limitation using our services to view, explore, help display and create NFTs, and using our tools, at your own discretion, to connect directly with others to mint, purchase, sell, or transfer NFTs on public blockchains (collectively, the “Service”). “NFT” in these Terms means a non-fungible token or similar digital item implemented on a blockchain (such as the Ethereum blockchain), which uses smart contracts to link to or otherwise be associated with certain content or data.
For purposes of these Terms, “user”, “you”, and “your” mean you as the user of the Service. If you use the Service on behalf of a company or other entity then “you” includes you and that entity, and you represent and warrant that (a) you are an authorized representative of the entity with the authority to bind the entity to these Terms, and (b) you agree to these Terms on the entity’s behalf.
PLEASE READ THESE TERMS OF SERVICE CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION AND AFFECT YOUR LEGAL RIGHTS. AS OUTLINED IN SECTION 16 BELOW, THEY INCLUDE A MANDATORY ARBITRATION AGREEMENT AND CLASS ACTION WAIVER WHICH (WITH LIMITED EXCEPTIONS) REQUIRE ANY DISPUTES BETWEEN US TO BE RESOLVED THROUGH INDIVIDUAL ARBITRATION RATHER THAN BY A JUDGE OR JURY IN COURT.

To access the Service, you must be at least 18 years old or the age of majority in your jurisdiction, whichever is higher. You will need a compatible digital wallet (e.g., MetaMask) and sufficient cryptocurrency (e.g., ETH) to interact with our NFTs. We do not provide wallets or cryptocurrency
We reserve the right, at our sole discretion, to change or modify portions of these Terms at any time. If we do this, we will post the changes on this page and will indicate at the top of this page the date these Terms were last revised. We will also notify you, either through the Platform user interface, in an email notification or through other reasonable means. Any such changes will become effective no earlier than fourteen (14) days after they are posted, except that changes addressing new functions of the Platform will be effective immediately. Your continued use of the Platform after the date any such changes become effective constitutes your acceptance of the new Terms of Service.
The Service may be unavailable at times for maintenance or due to unforeseen issues. We do not guarantee uninterrupted access and may suspend or terminate the Service at our discretion, with or without notice.
When you purchase an NFT through our Service, you own the unique digital token associated with it, as recorded on the blockchain. Ownership grants you specific rights outlined in these Terms (see Section 4), but does not include ownership of the underlying artwork, content, or intellectual property unless explicitly stated. We or our creators retain all rights to the original content linked to the NFT. You may sell, trade, or transfer your NFT, subject to these Terms and applicable laws, but such transactions occur on third-party platforms over which we have no control.
The digital assets about which information is provided on the Platform and any information provided in connection with the Platform provided to you are not viewed by the issuer or sponsor of any such digital assets, or those buying or selling the digital asset, as securities under U.S. laws or relevant applicable laws. As a result it is unlikely that fulsome disclosures from the issuer or sponsor, or any executive officer associated with the digital asset or related protocol have been provided, and others may have better or more information than the information made available to you via the Platform or any information provided in connection with the Platform provided to you, or to which you may independently have access. To safeguard our users' accounts, we implement a withdrawal limit for new users. This measure prevents unauthorized access or hacking attempts. Furthermore, the limit is designed to be flexible, allowing users to gradually increase their withdrawal amounts without encountering any issues. While we prioritize the security of our users' accounts, we acknowledge that certain risks cannot be entirely eliminated. Therefore, the withdrawal limit serves as a security measure, triggering a withdrawal verification process for new accounts. Once this verification is completed, users can withdraw funds without further limitations.
Upon purchasing an NFT through our platform, you are granted a limited, non-exclusive, worldwide, royalty-free, non-transferable, and revocable license to access, display, and use the specific digital content associated with your NFT. This license is provided strictly for personal, non-commercial purposes, meaning that while you have the right to enjoy, showcase, and display the digital artwork or media linked to your NFT, you do not obtain ownership of the intellectual property rights associated with the underlying content.
This license allows you to:
-- Display and showcase your NFT in personal digital galleries, metaverse environments, blockchain-based virtual worlds, and other platforms that support NFT exhibition.
-- Share and display your NFT on social media platforms such as Twitter, Instagram, Discord, or other online communities, provided that such use complies with the respective platform’s guidelines and does not imply unauthorized commercial exploitation.
-- Store your NFT securely in personal digital wallets and access it across compatible blockchain-based services.
-- Include your NFT in private collections or use it for personal enjoyment without modifications or unauthorized reproduction.
This license is strictly tied to your ownership of the NFT. If you sell, transfer, or otherwise dispose of the NFT, the rights granted to you under this license automatically terminate, and the new owner will inherit the same rights and restrictions outlined in these Terms. As a result, you will no longer have any entitlement to display, use, or access the NFT’s associated digital content once ownership is transferred. Additionally, we reserve the right to revoke this license at our sole discretion if we determine that you have violated any provisions outlined in these Terms. In such cases, your right to access and display the digital content may be restricted, and appropriate legal action may be taken if necessary.
It is important to clarify that purchasing an NFT does not grant you ownership of the underlying intellectual property, trademarks, copyrights, or any proprietary rights associated with the NFT's visual, audio, or textual content. The original creator or rights holder retains full intellectual property ownership, and your usage of the NFT content remains subject to the limitations imposed by this license agreement. Any additional rights beyond those explicitly stated here would require separate written authorization from the rights holder.
By purchasing an NFT on our platform, you acknowledge that you have read, understood, and agreed to the terms of this license. You further acknowledge that blockchain transactions are permanent and irreversible, meaning that the transfer of NFT ownership follows the inherent properties of decentralized ledger technology. You agree to use the Service and any content accessed through it responsibly and legally. You may not:
1. Use the Service for any unlawful purpose or in violation of these Terms.
2. Attempt to copy, reproduce, or create derivative works from NFT content beyond your licensed rights.
3. Use the Service to harm, disrupt, or exploit its functionality (e.g., through hacking or spamming).
4. Misrepresent your ownership of an NFT or its associated content.
5. We reserve the right to remove content or restrict access to the Service if we suspect misuse, though we are not obligated to monitor your activity.
The Creator owns all legal right, title, and interest in all intellectual property rights of the content underlying the Digital Artwork minted on the Platform or using Third Party Tools (as defined below) with which the Platform may integrate (such underlying content, the “Art Content”) and any content specific to a Collection that is not the Digital Artwork within a Collection (“Collection Content”), including but not limited to copyrights and trademarks in the Art Content and Collection Content, unless the Creator expressly transfers any such right, title or interest to a Collector or other third party. As the copyright owner, the Creator has the right to reproduce, prepare derivatives of, distribute, and display or perform the Art Content and Collection Content.
Any transaction involving reading from or writing to the blockchain necessitates the payment of a mandatory service fee by the author or initiator of the transaction. This service fee serves as a fundamental requirement for executing and processing various operations, activities, and smart contract interactions on the blockchain network. The necessity of this fee arises from the decentralized nature of blockchain technology, which relies on a network of nodes, miners, or validators who contribute computational power, storage, and security to ensure the seamless execution and verification of transactions. These participants are compensated through transaction fees, which incentivize their continued contribution to maintaining the integrity, security, and efficiency of the blockchain.
Furthermore, the service fee is strictly designated for facilitating blockchain-based activities, including but not limited to executing smart contracts, verifying digital signatures, validating transactions, recording data on the distributed ledger, and interacting with decentralized applications (dApps). Without this fee, the blockchain network would lack the necessary incentives for miners or validators to process transactions efficiently, leading to potential delays, congestion, or even a complete halt in transaction processing.
It is essential to note that any funds deposited or allocated for processes that inherently require a refund will be returned to the author or initiator of the transaction in accordance with the applicable refund policies and smart contract logic. If a transaction or an operation does not proceed as expected due to an error, rejection, or system constraints, the corresponding amount, excluding non-recoverable gas fees or network charges, will be duly refunded to the appropriate entity. The mechanism for refunding funds is typically governed by the specific smart contract governing the transaction or by the blockchain protocol’s inherent rules.
However, while refunds are possible in certain scenarios, it is important to distinguish between the service fee required for executing a transaction and any additional funds that might be involved in a given blockchain interaction. Service fees, also known as gas fees in many blockchain networks such as Ethereum, are non-refundable as they compensate network participants for computational resources expended in processing transactions. On the other hand, certain deposits or payments made within decentralized applications or smart contracts may be refundable depending on the terms of engagement specified within the contract's code or the platform's operational policies.
Ultimately, the requirement of a service fee ensures the continuous functionality, security, and decentralization of the blockchain ecosystem. By requiring authors and initiators of transactions to cover these costs, blockchain networks maintain their autonomous and trustless nature while ensuring that all transactions are properly validated, recorded, and secured on the immutable ledger.
You are responsible for your actions on the Service. Prohibited conduct includes, but is not limited to:
1. Engaging in fraudulent transactions or misrepresentation when buying or selling NFTs. Uploading or sharing content that is offensive, defamatory, or infringes on others’ rights.
2. Attempting to bypass security measures or interfere with the blockchain infrastructure.
3. Using automated tools (e.g., bots) to manipulate auctions, pricing, or availability without our consent.
4. Violations may result in suspension or termination of your access to the Service, and we may cooperate with legal authorities if required.
The Creator explicitly consents to refunding the Collector and/or Jignify, at Jignify' direction, the entire portion of Fees (as defined below) received from the sale of any Digital Artwork that was subsequently removed from the Platform pursuant to a valid DMCA request to which the Creator failed to submit a timely and effective DMCA Counternotification. Jignify shall bear no liability to any User for removing allegedly infringing works from the Platform or otherwise fulfilling its legal obligations under the DMCA.
All content, materials, and intellectual property available on or associated with the Service, including but not limited to artwork, graphic designs, branding elements such as logos and icons, website layout, text, scripts, images, software, audiovisual content, and any other creative assets (excluding user-owned NFTs), are either the exclusive property of our company, legally licensed to us by third parties, or protected by applicable intellectual property laws, including copyright, trademark, trade dress, and other proprietary rights. These legal protections ensure that all such content remains the rightful property of its creators or rights holders and cannot be used, reproduced, distributed, or modified without proper authorization.
By purchasing an NFT through our platform, users acquire ownership of the digital asset itself, meaning they gain control over the unique token associated with the underlying content. However, it is important to understand that the acquisition of an NFT does not, by default, grant the purchaser any legal rights, title, or interest in the intellectual property associated with the visual representation or metadata of the NFT beyond the rights explicitly conveyed at the time of sale. Specifically, purchasing an NFT does not confer ownership of copyrights, trademarks, patents, moral rights, publicity rights, or any other intellectual property rights related to the underlying artwork, design, or digital file unless such rights are expressly transferred in writing through a separate agreement between the creator, rights holder, and the purchaser.
Unless explicitly authorized in a written agreement, users may not copy, reproduce, distribute, publicly display, modify, create derivative works, or commercially exploit any content or intellectual property associated with NFTs or any other elements of our Service. Any unauthorized use, reproduction, or redistribution of copyrighted or trademarked materials may result in legal action and enforcement of intellectual property rights.
If you believe that any content made available on our Service infringes upon your intellectual property rights, we take such concerns seriously and encourage you to reach out to us. To file an intellectual property claim, please contact us via our support team with a detailed description of the alleged infringement, including your legal basis for the claim, proof of ownership, and any supporting documentation that can assist us in reviewing the issue. Upon receiving a properly documented complaint, we will conduct a thorough review of your claim in accordance with applicable intellectual property laws and take appropriate action, which may include removing or restricting access to the disputed content or facilitating communication between the involved parties for resolution.
We remain committed to respecting and upholding intellectual property rights while fostering a fair and transparent ecosystem for digital assets, ensuring that creators and rights holders receive proper recognition and protection for their work.
By accessing, using, or engaging with the Service in any manner, you expressly acknowledge, agree, and provide your informed consent to receive electronic communications from us. These communications may include, but are not limited to, transactional notices, service-related announcements, updates regarding your NFTs, important account notifications, system alerts, and promotional or marketing messages related to our platform, services, or third-party offerings that may be of interest to you. Such electronic communications may be delivered through various channels, including email, SMS, in-app or on-site notifications, push notifications, or any other communication methods associated with your registered account.
Transactional Communications – These include essential service-related messages necessary for account management, transaction processing, security verification, purchase confirmations, NFT-related updates, system-generated alerts, billing notifications, password resets, and compliance-related notices. These messages are fundamental to the operation of the Service, ensuring that you receive timely and accurate information about your transactions, assets, and account status.
Service and Platform Updates – You may receive messages regarding changes to the Service, new features, improvements, modifications to our terms and policies, or scheduled maintenance and technical updates. These notifications help keep you informed about enhancements, optimizations, and any necessary actions you may need to take concerning your account or digital assets.
Marketing and Promotional Messages – From time to time, we may send promotional materials, special offers, discount opportunities, event invitations, industry news, NFT drops, partner collaborations, or other marketing-related communications designed to enhance your engagement with the Service and provide you with valuable opportunities in the digital asset ecosystem.
We are committed to handling and processing your personal information in accordance with our Privacy Policy. Any data collected through electronic communications is used strictly for the purposes of providing and improving our Service, facilitating secure transactions, and ensuring compliance with applicable regulations. We do not sell, rent, or share your contact information with third parties for their direct marketing purposes without your explicit consent.
